Composition of ISAIL

1. The Indian Society of Artificial Intelligence and Law consists of:

   1. The Board of Trustees, governed by the Trust Deed of ISAIL;

   2. The Secretariat of the Indian Society of Artificial Intelligence and Law, led by the ISAIL President, a Trustee, or a full-time appointee in the Secretariat in the absence of the ISAIL President;

   3. The Global Advisory Council of the Indian Society of Artificial Intelligence and Law (hereinafter “The Global Advisory Council”) for all matters of international and non-Indian interest;

   4. The OpenBharat.net Governing Council, primarily governed by the OpenBharat.net Charter, formerly known as the AIStandard.io Alliance Charter (“OpenBharat.net GC) for all matters of India-specific interest;

   5. The ISAIL AI Policy Academic Council (also known as the ISAIL Academic Council) as described in Schedule 2. 

   6. The Members of the Indian Society of Artificial Intelligence and Law (hereinafter “Members”)

2. No position or responsibility accorded to the appointees in the Global Advisory Council, the Secretariat and the OpenBharat.net GC of the Indian Society of Artificial Intelligence and Law, which includes any position or responsibility in any of its committees and forums, involves any form of remuneration or compensation.

3. In the event of any dispute, controversy, or claim arising out of, or in connection with, this Charter, including any question regarding its existence, validity, interpretation, breach, or termination, the parties shall, in the first instance, seek an amicable settlement through mediation administered by WebNyay in accordance with the WebNyay Mediation and Conciliation Rules. The mediation proceedings shall be conducted by a sole mediator appointed by WebNyay.

   1. If the dispute is not resolved through mediation within forty-five (45) days from the formal initiation of the mediation proceedings, or within such extended period as the parties may mutually agree in writing, the dispute shall be referred to and finally resolved by arbitration administered by WebNyay in accordance with the WebNyay Arbitration Rules.

   2. The arbitral tribunal shall consist of a sole arbitrator appointed by WebNyay. The legal seat and place of arbitration shall be Prayagraj (Allahabad), Uttar Pradesh, India. The language of the arbitral proceedings shall be English. The resulting arbitral award shall be final, conclusive, and binding upon the parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction.
