Article 24 | Scope and Application of Confidentiality
(1) Access to Confidential Information
The Member acknowledges that during their participation in Alliance activities governed by the AiStandard.io Alliance Charter, ISAIL.IN's Privacy Policy, and other applicable bylaws of ISAIL.IN, they may have access to Confidential Information. The Member further acknowledges that Alliance Membership is a privilege granted solely at the discretion of ISAIL.IN.
(2) Confidentiality Obligations
The Member agrees to:
(i) Maintain strict confidentiality of all Confidential Information and refrain from any unauthorised use, including but not limited to disclosure, misuse, reproduction, copying, transmission, or infiltration ("Unauthorised Use");
(ii) Implement reasonable technical, administrative, and organisational measures to safeguard Confidential Information from unauthorised access or disclosure, in accordance with ISAIL.IN's Privacy Policy; and
(iii) Ensure that all employees, representatives, and affiliates who are privy to Confidential Information are bound by confidentiality obligations no less stringent than those set out in this Agreement.
(3) Non-Disclosure of Membership Process
The Member agrees not to disclose, discuss, or share any information relating to the procedures, formalities, criteria, or internal communications concerning the application, evaluation, or conferral of Alliance Membership. This obligation extends to, but is not limited to:
(i) Any discussions with ISAIL.IN personnel, Board of Trustees, Secretariat members, or other Alliance Members regarding the application or approval process;
(ii) Terms of membership, including any special considerations or arrangements made in connection therewith;
(iii) Internal communications or deliberations relating to the Member's own membership status; and
(iv) Information concerning the membership status or application process of any other organisation.
(4) Consequences of Breach
Any breach of the confidentiality obligations under this Agreement may trigger a formal review of the Member's membership status. ISAIL.IN reserves the right to take such remedial measures as it deems appropriate, including suspension or termination of membership, to protect the integrity of the Alliance, the confidentiality of its processes, and its institutional reputation. Such measures shall be in addition to, and not in lieu of, any other legal remedies available to ISAIL.IN.
(5) Exceptions to Confidentiality
The obligations under this Agreement shall not apply to information that:
(i) Is or becomes publicly available through no fault of the Member;
(ii) Was already known to the Member prior to its disclosure by ISAIL.IN, as evidenced by written records predating such disclosure;
(iii) Is independently developed by the Member without reference to or reliance upon the Confidential Information; or
(iv) Is required to be disclosed by applicable law, regulation, or court order, provided that the Member promptly notifies ISAIL.IN in writing upon becoming aware of such requirement, and cooperates with ISAIL.IN in seeking any available protective order.
(6) Handling of Confidential Information
Confidential Information shall be clearly marked as such and shared only on a strict need-to-know basis within the Alliance.
(7) Survival
The confidentiality obligations under this Agreement shall survive the termination of membership for a period of three (3) years, unless a separate written agreement between the parties specifies a different period.
